Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “Customer,” or “you”) and GovProOS, Inc. (“GovProOS,” “Company,” “we,” or “us”) governing your access to and use of the GovProOS platform, including all associated software, services, features, content, and documentation (collectively, the “Service”).

By creating an account, clicking “I Agree,” accessing the Service, or authorizing any user within your organization to access the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you are accepting these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In such case, “you” and “your” refer to that entity.

We may update these Terms from time to time. We will provide notice of material changes by email or through the Service. Your continued use of the Service after the effective date of any revised Terms constitutes your acceptance of the changes.

To use GovProOS, you must meet the following requirements:

• You must be at least 18 years of age or the age of legal majority in your jurisdiction, whichever is greater.
• You must have the legal capacity to enter into a binding contract under applicable law.
• You must not be prohibited from receiving services under the laws of the United States or any other applicable jurisdiction.
• If using the Service on behalf of a business entity, that entity must be duly organized and validly existing under applicable law.
• Your organization must not be listed on any U.S. government debarment, suspension, or exclusion list (SAM.gov).
• You must provide accurate, complete, and current registration information and maintain the accuracy of such information throughout your use of the Service.

GovProOS reserves the right to refuse service, terminate accounts, or restrict access to the Service at any time, for any reason, at our sole discretion, including if we believe eligibility requirements have not been met.

You are responsible for maintaining the confidentiality of your account credentials, including your password. You agree to:

• Immediately notify GovProOS of any unauthorized use of your account or any other security breach at security@govproos.com.
• Ensure that all users added to your organization account comply with these Terms.
• Accept responsibility for all activities that occur under your account, whether authorized by you or not.
• Not share your login credentials with anyone outside your authorized organization members.
• Use strong, unique passwords and enable multi-factor authentication where available.
• Promptly remove access for any team members who leave your organization or no longer require access.

Organization owners are responsible for managing the roles and permissions of all users within their account. GovProOS is not liable for any loss or damage arising from your failure to protect your account credentials.

4.1 Permitted Uses

Subject to these Terms and payment of applicable fees, you may use GovProOS to:

• Create, manage, draft, and submit government proposals and related documents.
• Upload and process RFP documents, solicitations, and related federal government acquisition materials.
• Generate, edit, and collaborate on proposal content using AI-assisted features.
• Manage your organization's past performance records, personnel resumes, and company data.
• Track compliance requirements, pricing structures, and submission deadlines.
• Collaborate with authorized team members on proposal development activities.
• Export proposal content for submission to government agencies.

4.2 Prohibited Uses

You may not use GovProOS to:

• Violate any federal, state, or local law, regulation, or government requirement, including procurement regulations (FAR, DFARS) and false claims laws.
• Submit false, misleading, or fraudulent information to any government agency or contracting officer.
• Upload, transmit, or process any content that is classified, Controlled Unclassified Information (CUI), or subject to export control restrictions (EAR/ITAR) unless expressly authorized under a separate agreement.
• Reverse engineer, disassemble, decompile, or attempt to derive the source code of the Service.
• Attempt to gain unauthorized access to any part of the Service or its related systems.
• Use the Service to develop a competing product or service.
• Resell, sublicense, or commercially exploit the Service without prior written consent from GovProOS.
• Introduce viruses, malware, or any other harmful code into the Service.
• Engage in any activity that unreasonably burdens or disrupts the Service infrastructure.
• Use automated means to scrape, crawl, or extract data from the Service without prior written authorization.
• Circumvent any access controls, usage limits, or security features of the Service.

Violation of these restrictions may result in immediate termination of your account and may expose you to civil or criminal liability.

GovProOS uses artificial intelligence and large language models to assist in generating proposal content, compliance analyses, pricing narratives, and other outputs (collectively, “AI-Generated Content”). You acknowledge and agree to the following:

• Human Review Required: All AI-Generated Content is provided as a draft starting point only. You are solely responsible for reviewing, verifying, and approving any AI-Generated Content before use. AI outputs may contain inaccuracies, errors, omissions, or content inappropriate for your specific proposal.
• No Guarantee of Accuracy: GovProOS does not warrant that AI-Generated Content is accurate, complete, compliant with applicable regulations, or suitable for submission to any government agency. AI models can produce plausible but incorrect information.
• Compliance Responsibility: You are solely responsible for ensuring that any proposal submitted to a government agency complies with all applicable requirements, including those set forth in the solicitation, FAR, DFARS, and any other applicable regulations.
• No Legal or Professional Advice: AI-Generated Content does not constitute legal, financial, accounting, or professional advice. Consult qualified professionals for matters requiring such expertise.
• False Claims Risk: You acknowledge that submitting false, misleading, or unsupported claims in government proposals may violate the False Claims Act and other laws. GovProOS accepts no liability for any content you submit to government agencies.
• Content Variation: AI outputs are non-deterministic and may vary between sessions. The same inputs may produce different outputs at different times.

By using AI features, you accept full responsibility for the use and application of any AI-Generated Content.

6.1 GovProOS Intellectual Property

The Service, including all software, algorithms, AI models, databases, interfaces, documentation, branding, and associated intellectual property, is owned by GovProOS, Inc. and is protected by copyright, patent, trade secret, and other applicable laws. Nothing in these Terms transfers any ownership rights in the Service to you.

6.2 Your Content

You retain all ownership rights to content you upload, create, or input into the Service (“Customer Content”), including RFP documents, proposal drafts, past performance records, resumes, and proprietary company information. You grant GovProOS a limited, non-exclusive, royalty-free license to host, process, and transmit your Customer Content solely as necessary to provide the Service to you.

6.3 AI-Generated Output Ownership

Content generated by AI features using your Customer Content as input (“Generated Output”) is assigned to you upon creation, subject to your compliance with these Terms. GovProOS does not claim ownership of Generated Output produced from your Customer Content.

6.4 Feedback

Any feedback, suggestions, or ideas you provide about the Service (“Feedback”) may be used by GovProOS without restriction, attribution, or compensation to you. Feedback does not include Customer Content.

6.5 No Training on Customer Data

GovProOS will not use your Customer Content to train or fine-tune AI models that are made generally available to other customers without your explicit written consent.

7.1 Subscription Plans

GovProOS offers the following subscription plans:

Annual pricing is calculated at 11 times the monthly rate. The annual amount is billed in full at the start of each annual term.

7.2 Billing Cycles

Subscriptions are billed in advance on a monthly or annual basis, depending on your selected billing cycle. Monthly subscriptions renew automatically on the same day each calendar month. Annual subscriptions renew automatically on the anniversary of your subscription start date.

7.3 Payment Methods and Processing Fees

GovProOS accepts the following payment methods:

• ACH Bank Transfer: Payments made via ACH (Automated Clearing House) direct bank transfer are processed at no additional charge. ACH is the recommended payment method for annual subscriptions.
• Credit Card: Payments made via credit card (Visa, Mastercard, American Express) incur a processing fee of 3% of the total amount charged. This fee is assessed by our payment processor and is non-refundable. By selecting credit card as your payment method, you authorize GovProOS to add this fee to each transaction.

Example: A Starter plan monthly subscription of $500 paid by credit card will be charged $515.00 ($500 + $15.00 processing fee).

7.4 Price Changes

GovProOS reserves the right to modify subscription pricing at any time. We will provide at least 30 days advance notice of any price increase via email to the billing contact on your account. Price changes take effect at the start of your next billing period following the notice period.

7.5 Taxes

All listed prices are exclusive of applicable taxes. You are responsible for paying all applicable taxes, including sales tax, VAT, GST, or other similar taxes, as required by law based on your location and the nature of your purchase.

7.6 Late Payments and Suspension

If payment is not received within 10 days of the due date, GovProOS may suspend access to the Service. Accounts suspended for non-payment may be terminated after 30 days. You remain responsible for all fees accrued during any suspension period. Reactivation of a suspended account may require payment of all outstanding balances plus applicable late fees.

7.7 Refund Policy

All subscription fees are non-refundable except as required by applicable law or as expressly stated in a separate written agreement. If you cancel your subscription, you will retain access to the Service through the end of your current paid billing period. No partial refunds are issued for unused portions of a subscription period.

Annual subscribers who cancel within 30 days of their annual renewal date may be eligible for a pro-rated refund at GovProOS's sole discretion. Contact billing@govproos.com to request a refund review.

7.8 Plan Changes

You may upgrade your subscription plan at any time; the upgrade takes effect immediately and you will be charged a prorated amount for the remainder of your current billing period. Downgrades take effect at the start of your next billing period. GovProOS does not issue credits for the difference between plan prices when downgrading.

Either party may terminate these Terms at any time. You may cancel your subscription through your account settings or by contacting support@govproos.com. GovProOS may suspend or terminate your account for cause immediately and without notice if you violate these Terms, engage in fraudulent activity, or if required by law.

Upon termination, your right to access the Service ceases. We will retain your Customer Content for 90 days following termination to allow you to export your data. After that period, your data may be permanently deleted.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. GOVPROOS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOVPROOS' TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO GOVPROOS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL GOVPROOS BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST BUSINESS OPPORTUNITIES.

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in Delaware, and judgment on the award may be entered in any court with jurisdiction. Class action waiver: You waive the right to participate in class action lawsuits or class-wide arbitration against GovProOS.
